Board committees

Audit committee

The board’s audit committee is to consist of at least three members, of whom one is the chairperson. The committee’s work is conducted in accordance with instructions adopted by the board. The audit committee is primarily responsible for monitoring the Company’s financial position, the effectiveness of the Company’s internal control, the internal audit function and risk management, remaining informed about the audit of the annual financial statements and consolidated accounts, and reviewing and monitoring the objectivity and independence of the auditor. The audit committee is also to present recommendations to the nomination committee regarding the election and remuneration of the Company’s auditor, and keep in touch with the Company’s auditor on a continuing basis. All meetings of the audit committee are to be recorded in minutes, which are presented to the board together with a verbal debriefing to support the board’s decision-making processes. The audit committee comprises Erika Kjellberg Eriksson (chairperson), Nina Korfu-Pedersen and Karin Fischer.

Remuneration committee

The board’s remuneration committee is to consist of at least two members, of whom one is the chairperson. The committee’s work is conducted in accordance with the rules of procedure adopted by the board. The remuneration committee is primarily responsible for preparing matters related to remuneration and other terms of employment for the president and other senior executives. The remuneration committee is also to monitor and evaluate variable pay plans for Company management (both ongoing and those completed during the year), and monitor and evaluate the application of the remuneration guidelines for senior executives approved by the annual general meeting. All meetings of the remuneration committee are to be recorded in minutes, which are presented to the board together with a verbal debriefing to support the board’s decision-making processes. The remuneration committee comprises Finn Sander Albrechtsen (chairperson) and Erika Kjellberg Eriksson.
